Uruguay has no franchise law.<\/strong> The contract is governed by general contract rules, which means whatever is not written down does not exist<\/strong>. That single feature defines how to approach a franchise here: protection comes from the contract and the registered trademark, not from a specific legal regime that covers you by default.<\/p>\n

What it is and why it is growing in Uruguay<\/h2>\n

A franchise is a contract by which the franchisor<\/strong> grants the franchisee<\/strong> the right to exploit its brand, know-how and business system in a defined territory, in exchange for financial consideration.<\/p>\n

Uruguay is attractive for this model for concrete reasons: legal and macroeconomic stability, a small market with relatively high purchasing power, and cultural and regulatory proximity to Argentina and Brazil that makes it easy to replicate formats that already work. Much of the movement in recent years has come from Argentine brands looking to internationalise.<\/p>\n

The cost structure, without surprises<\/h2>\n

This is where investment is most underestimated. A franchise has at least four cost components, and usually only the first appears in the brochure:<\/p>\n
